Terms of Service

These Terms of Service ("Terms") govern your access to and use of the Accenta platform, including our website, web app, and related services (collectively, the "Service") provided by Accenta ("we", "us", or "our"). By creating an account or using the Service, you agree to these Terms.

1. Eligibility

You must be at least 18 years old and able to form a binding contract under applicable law to use the Service. By using the Service on behalf of an organization, you represent that you have authority to bind that organization to these Terms.

2. Your Account

You are responsible for safeguarding your account credentials and for all activity under your account. Notify us immediately at getaccenta@gmail.com of any unauthorized use. We are not liable for losses caused by unauthorized access resulting from your failure to protect your credentials.

3. Subscription Plans & Payment

Accenta is offered on free trial and paid subscription plans. Subscription fees, billing cycles, and feature limits are described on our pricing page. Payments for paid plans are processed through approved channels (e.g. bKash, Nagad, or other listed methods).

All fees are non-refundable except where required by law. Failure to pay may result in suspension or downgrade of your account.

We may offer a free trial period. At the end of the trial, your account will revert to a free tier or require a paid subscription to continue accessing certain features. Trial limits and conversion terms are shown at sign-up.

5. Your Data & Ownership

You own all the business data you enter into Accenta (clients, invoices, expenses, projects, etc.). You grant us a limited, non-exclusive license to host, store, process, and display your data solely to provide the Service to you. We will never sell your data and will never use your data to train any AI model.

We strive to keep the Service available 24/7 but do not guarantee uninterrupted access. The Service may be temporarily unavailable due to maintenance, upgrades, or factors beyond our control. We are not liable for any losses resulting from such interruptions.

8. Intellectual Property

The Service, including its software, design, logos, trademarks, and content (excluding your data), is owned by Accenta and protected by intellectual property laws. You may not use our trademarks or branding without prior written permission.

9. Termination

You may cancel your account at any time from within the Service. We may suspend or terminate your account for breach of these Terms, non-payment, or any conduct that we reasonably believe harms us, other users, or third parties. Upon termination, you may export your data within a reasonable period before it is deleted.

10. Disclaimer of Warranties

The Service is provided "as is" and "as available" without warranties of any kind, express or implied, including merchantability, fitness for a particular purpose, and non-infringement. Accenta is a tool to help you manage your business records — it is not a substitute for professional accounting, tax, or legal advice. You are solely responsible for the accuracy of your records and your compliance with applicable laws.

11. Limitation of Liability

To the maximum extent permitted by law, Accenta and its providers shall not be liable for any indirect, incidental, consequential, special, or punitive damages, or for loss of profits, revenue, data, or business opportunities arising from your use of the Service. Our total liability for any claim shall not exceed the amount you paid us for the Service in the twelve (12) months preceding the claim.

12. Indemnification

You agree to defend, indemnify, and hold Accenta harmless from any claims, damages, liabilities, and expenses (including reasonable legal fees) arising from your use of the Service, your data, or your breach of these Terms.

13. Changes to the Service or Terms

We may modify the Service or these Terms at any time. Material changes will be communicated via email or in-app notice. Continued use after changes take effect constitutes acceptance of the revised Terms.

14. Governing Law

These Terms are governed by the laws of the People's Republic of Bangladesh. Any disputes shall be resolved in the competent courts of Dhaka, Bangladesh, unless otherwise required by mandatory law.
